Terms of engagement.

These terms cover the standing relationship between Hirefel SL and anyone engaging us — scope calls, proposals, and the shape of any engagement. A signed Statement of Work or DPA overrides these terms where they conflict.

01Scope of these terms

They apply to the public site, initial conversations, and any preliminary work before a formal agreement is in place. From the moment a Statement of Work is signed, the SOW governs delivery, deliverables, and change control.

02How engagements start

  • Scope call. 30 minutes, free, no commitment either way.
  • Written proposal. A fixed scope with a fixed price, or a time-and-materials rate card with a soft cap.
  • Statement of Work. Signed by both parties, references these terms and the DPA.
  • Kickoff. Within 10 working days of signature unless otherwise agreed.

03Fees & invoicing

Currency
Euros. USD and GBP engagements are quoted at the 30-day rolling average on the kickoff date.
Billing cadence
Monthly in arrears for T&M. Fixed-scope work is milestone-billed per the SOW.
Payment terms
Net 14 from invoice date. Late payments accrue interest at the Spanish statutory rate.
Expenses
Reimbursed at cost, pre-approved, no markup.

04Intellectual property

On full payment of the relevant invoice, all deliverables — source code, documentation, eval datasets, runbooks, model artifacts produced for you — transfer to you in full, including the right to sublicense. Hirefel retains no background rights in client deliverables except for:

  • Generic tooling, utility code, and internal libraries existing prior to the engagement.
  • Anonymous, aggregated learnings used to improve how we work.

We do not open-source client work without written permission.

05Confidentiality

Everything exchanged during an engagement is confidential by default — no NDA required. We can reference your name and a one-paragraph case description publicly only with written approval. The confidentiality obligation survives termination for five years.

06Warranties

We warrant that work is delivered with the care and skill expected of senior engineers, that deliverables do not knowingly infringe third-party rights, and that code passes the eval suites specified in the SOW. There are no other warranties, express or implied.

07Limitation of liability

Hirefel's aggregate liability under any engagement is capped at the fees paid for the three months preceding the event giving rise to the claim. Neither party is liable for indirect, consequential, or incidental losses. This cap does not apply to death or personal injury, gross negligence, or willful misconduct — as required by Spanish law.

On termination we hand over all work-in-progress, credentials, and documentation within 10 working days.

09Governing law & forum

These terms are governed by Spanish law. Any disputes that cannot be resolved through good-faith discussion are submitted to the exclusive jurisdiction of the courts of Barcelona.
